LockTrust Partner Referral Program Terms

These Partner Referral Program Terms (“Terms”) govern participation in the LockTrust Partner Program (“Program”). By participating in the Program, you (“Partner”) agree to these Terms with Lock Trust Inc. (“LockTrust”, “we”, “our”, or “us”).

1. Program Overview

The LockTrust Partner Program allows individuals or organizations to refer businesses to LockTrust for payment processing and related services.

If a referred business becomes an active LockTrust merchant account, the Partner may be eligible to receive referral compensation as described in these Terms.

Participation in the Program does not create a partnership, joint venture, agency, employment, or broker relationship.

2. Eligibility

To participate in the Program, a Partner must:

• Provide accurate registration information
• Comply with all applicable laws and regulations
• Not represent themselves as an employee or agent of LockTrust

LockTrust reserves the right to approve or reject any Partner application at its sole discretion.

3. Qualified Referrals

A referral is considered a Qualified Referral if:

• The business was introduced to LockTrust by the Partner
• The business was not already in active discussions with LockTrust
• The business successfully completes onboarding and merchant approval
• The business processes payments through LockTrust

LockTrust retains sole discretion in determining whether a referral qualifies.

4. Referral Compensation

Partners may receive referral compensation based on the payment volume generated by businesses they refer.

Standard referral compensation may include:

0.10% – 0.15% of payment processing volume

The exact rate may vary based on partner tier, volume, or written agreement.

Referral payments are calculated based on net processing volume actually processed through LockTrust.

LockTrust reserves the right to adjust Program economics for new referrals at any time.

5. Payment Terms

Referral payments:

• Are calculated monthly
• May be paid monthly or quarterly
• Are subject to minimum payout thresholds
• May be withheld for fraud, chargeback risk, or regulatory compliance

LockTrust may require tax documentation (such as IRS Form W-9 or W-8).

Partners are responsible for their own taxes.

6. No Authority to Bind LockTrust

Partners may not:

• Represent LockTrust in negotiations
• Offer pricing or contractual terms on behalf of LockTrust
• Enter into agreements on behalf of LockTrust

Only LockTrust may approve merchants or enter payment processing agreements.

7. Marketing and Representation

Partners must accurately represent LockTrust services.

Partners may not:

• Make misleading claims
• Use deceptive marketing practices
• Misrepresent LockTrust pricing or services

LockTrust may revoke Program participation for violations.

8. Compliance

Partners must comply with all applicable laws including:

• Anti-bribery laws
• Marketing and advertising laws
• Data privacy laws

Partners may not solicit merchants using unlawful or deceptive practices.

9. Termination

LockTrust may terminate participation in the Program at any time.

Upon termination:

• No new referrals will qualify
• Existing referral payments may continue only for active merchants at LockTrust’s discretion

LockTrust may also terminate accounts for fraud, abuse, or policy violations.

10. Program Changes

LockTrust reserves the right to:

• Modify the Program structure
• Adjust referral compensation
• Update these Terms

Changes will apply prospectively to future referrals unless otherwise stated.

11. Limitation of Liability

To the fullest extent permitted by law, LockTrust will not be liable for indirect, incidental, or consequential damages arising from participation in the Program.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

14. Referral Attribution

LockTrust will determine referral attribution in its sole discretion.

A referral will generally be attributed to a Partner only if:

  • The Partner submits the referral through an approved LockTrust channel or form; and

  • The referred business has not previously been contacted by or engaged with LockTrust.

If multiple parties claim the same referral, LockTrust will determine attribution based on the earliest documented introduction or other reasonable factors.

LockTrust’s determination of referral attribution will be final.

15. Merchant Relationship Ownership

All merchants who onboard with LockTrust are customers of LockTrust.

Partners do not obtain ownership rights, exclusivity, or control over any merchant account.

LockTrust retains full discretion to:

  • Manage merchant relationships

  • Set pricing and fees

  • Provide support services

  • Modify merchant agreements

Partners may not interfere with or attempt to control LockTrust’s relationship with any merchant.

16. Changes to Compensation

LockTrust reserves the right to modify referral compensation structures at any time.

Changes may include:

  • Adjusting referral percentages

  • Changing partner tier structures

  • Introducing or removing bonuses or incentives

Such changes will apply prospectively to new referrals unless otherwise specified.

Existing referral payments may continue under the prior structure at LockTrust’s discretion.

17. Independent Contractor Status

Partners participate in the Program as independent contractors.

Participation in the Program does not create:

  • An employment relationship

  • A joint venture

  • A partnership

  • An agency relationship

Partners are solely responsible for their own taxes, expenses, and business operations.

18. Prohibited Activities

Partners may not:

  • Engage in spam or unsolicited bulk marketing

  • Misrepresent LockTrust services

  • Offer unauthorized discounts or pricing

  • Use LockTrust trademarks without permission

  • Engage in fraudulent or deceptive practices

Violation of these provisions may result in immediate termination from the Program.

19. Merchant Activity Requirement

Referral compensation is only payable while the referred merchant is actively processing payments through LockTrust.

If a merchant:

  • Stops processing payments

  • Closes their account

  • Becomes inactive

  • Is terminated by LockTrust

  • Is moved to another processor

  • Is suspended due to risk or compliance reasons

then referral compensation related to that merchant will automatically stop.

20. Chargebacks, Fraud, and Risk Adjustments

Referral compensation may be reduced, withheld, or reversed if:

  • Transactions are refunded

  • Chargebacks occur

  • Fraudulent activity is identified

  • Payments are reversed

  • Merchant activity creates financial risk for LockTrust

LockTrust may adjust referral payments to reflect net processed volume after such adjustments.

21. Compliance With Payment Network Rules

Partners must comply with all applicable laws and payment network requirements, including rules established by:

  • Visa

  • Mastercard

  • American Express

  • Discover

  • NACHA

  • Applicable regulatory authorities

Partners may not engage in marketing or solicitation practices that violate card network rules or payment processing regulations.

22. No Payment Processing Representation

Partners are not payment processors, payment facilitators, or financial institutions.

Partners may not:

  • Represent themselves as providing payment processing services

  • Collect payments on behalf of LockTrust

  • Provide underwriting approvals

  • Represent LockTrust in compliance matters

Only LockTrust and its licensed partners may provide payment processing services.

23. Confidentiality

Partners may receive confidential information related to LockTrust services, pricing, and merchant relationships.

Partners agree not to disclose or use such information except as necessary to participate in the Program.

Confidentiality obligations survive termination of participation in the Program.

24. Program Abuse

LockTrust may suspend or terminate a Partner immediately if LockTrust determines that the Partner has:

  • Engaged in fraudulent activity

  • Attempted to manipulate referral tracking

  • Submitted false or misleading referrals

  • Violated Program terms

  • Engaged in behavior that creates legal, regulatory, or reputational risk

In such cases, LockTrust may withhold unpaid referral compensation.

25. Entire Agreement

These Terms constitute the entire agreement regarding participation in the LockTrust Partner Program and supersede any prior discussions or agreements relating to the Program.

26. Existing Merchant and Pre-Existing Relationships

A referral will not qualify for referral compensation if the referred business:

  • Is already a LockTrust customer

  • Has previously processed payments through LockTrust

  • Has already been referred by another partner

  • Is already in active discussions with LockTrust prior to the referral submission

LockTrust will determine whether a merchant qualifies as a new referral in its sole discretion.

27. Referral Registration Requirement

To qualify for referral compensation, Partners must submit referrals through an approved LockTrust referral registration process, such as:

  • A referral form

  • An approved introduction email

  • A designated partner portal

If a referral is not properly registered before LockTrust begins discussions with the business, the referral may not qualify for compensation.

28. Large Merchant or Strategic Accounts

For large merchants or strategic accounts, LockTrust reserves the right to negotiate separate compensation arrangements.

In some cases:

  • Referral compensation may be capped

  • A one-time referral fee may apply

  • A separate written agreement may be required

This provision helps ensure fair treatment for large enterprise opportunities.

29. No Exclusivity

Participation in the Partner Program does not grant exclusivity in any industry, territory, or merchant segment.

LockTrust may:

  • Work with multiple partners

  • Market directly to businesses

  • Enter relationships with other referral partners or platforms

30. Survival

Sections related to:

  • Compensation

  • Confidentiality

  • Compliance

  • Limitation of liability

will survive termination of participation in the Partner Program.
