LockTrust Software Subscription Terms

These Software Subscription Terms (“Software Terms”) govern Merchant’s access to and use of LockTrust software products and applications, including the LockTrust One Ecosystem and related services (“Software Services”).

These Software Terms form part of the LockTrust legal agreements and operate in conjunction with the LockTrust Online Payment Services Agreement and other LockTrust policies.

By accessing or using LockTrust Software Services, Merchant agrees to be bound by these Software Terms.

These documents are incorporated into these Software Terms by reference and may be updated periodically.

2. Software Services

LockTrust may provide software products that allow merchants to manage business operations, payments, and financial services.

Software Services may include:

• LockTrust One merchant platform
• payment dashboards and reporting tools
• subscription billing and invoicing tools
• payment links and checkout tools
• analytics and reporting tools
• API access and developer integrations
• mobile applications
• wallet and payment account management tools

LockTrust may add, modify, or discontinue Software Services at any time.

Certain Software Services are designed to operate with LockTrust payment processing services. Functionality may be limited if Merchant processes payments through other providers.

3. Subscription Plans

“Subscription Plan” means the pricing plan, entitlement scope, term length, and associated fees applicable to a Software Service as described on the LockTrust website, pricing pages, Merchant dashboard, or as otherwise agreed between LockTrust and Merchant.

Subscription Plans may include:

• monthly subscriptions
• annual subscriptions
• promotional subscription plans
• bundled processing and software plans

4. Software Fees

Software Services may require payment of subscription fees as specified in the applicable Subscription Plan.

LockTrust may update software pricing from time to time. If pricing changes apply to an existing Subscription Plan, LockTrust will provide reasonable notice prior to the change becoming effective.

Failure to pay applicable subscription fees may result in suspension or termination of Software Services.

5. Free Trials

LockTrust may make certain Software Services available on a trial basis free of charge (“Free Trial”).

Free Trials will remain active until the earlier of:

(a) the expiration of the trial period communicated to Merchant; or
(b) the start of any paid Subscription Plan purchased by Merchant.

Unless Merchant cancels the Software Service prior to the expiration of the Free Trial period, the applicable Subscription Plan fees will automatically begin at the end of the trial period.

Free Trials may be subject to additional terms and applicable taxes.

6. Promotional Plans

LockTrust may offer promotional plans that include discounted or free Software Services in connection with Merchant’s use of LockTrust payment processing services.

For example, LockTrust may offer promotions that provide twelve (12) months of free access to certain Software Services in exchange for Merchant agreeing to process payments with LockTrust for a specified minimum processing period.

If Merchant terminates payment processing services before the end of the applicable promotional processing commitment, LockTrust reserves the right to charge Merchant the standard subscription price for Software Services previously provided free of charge.

Promotional offers may be modified or discontinued at any time.

Promotional Software Credit. LockTrust may offer promotional software credits that offset the subscription cost of Software Services.

Promotional software credits may be earned based on Merchant’s payment processing activity using LockTrust services.

For example, LockTrust may offer promotional credits with a maximum value equivalent to twelve (12) months of Software Services that may be earned over a thirty-six (36) month promotional eligibility period.

Credits may be applied periodically based on Merchant’s payment processing volume or other qualifying activity.

If Merchant stops processing payments using LockTrust services, eligibility for promotional credits will immediately cease and any remaining unused credits will expire.

Promotional credits have no cash value, are non-transferable, and may only be applied toward eligible Software Services.

Promotional offers may be modified, suspended, or discontinued at any time for new merchants.

7. License to Use Software

Subject to compliance with these Software Terms, LockTrust grants Merchant a limited, non-exclusive, non-transferable, revocable license to access and use the Software Services solely for Merchant’s internal business operations.

Merchant may not:

• reverse engineer the Software Services
• copy, reproduce, or distribute the software
• sublicense or resell the Software Services
• attempt to access source code
• create derivative works based on the software
• use the Software Services to develop competing products

All intellectual property rights in the Software Services remain the property of LockTrust or its licensors.

8. Service Availability

LockTrust does not guarantee that the Software Services will operate uninterrupted, error-free, or without delays.

Software Services may be temporarily unavailable due to:

• scheduled maintenance
• system updates
• security improvements
• internet or infrastructure failures
• third-party service disruptions
• events beyond LockTrust’s control

LockTrust is not responsible for losses resulting from temporary service interruptions.

9. Service Modifications

LockTrust may modify, update, add, or remove features from the Software Services at any time to improve functionality, maintain security, or comply with legal and regulatory requirements.

LockTrust may also discontinue certain Software Services or features.

10. Beta Services

LockTrust may offer certain features or products as beta, preview, or early access services (“Beta Services”).

Beta Services are provided “as-is” and may contain errors, defects, or incomplete functionality.

LockTrust makes no warranties regarding Beta Services and may discontinue them at any time.

11. Merchant Data

Merchant retains ownership of business data submitted to the Software Services (“Merchant Data”).

Merchant is responsible for:

• the accuracy of Merchant Data
• compliance with applicable laws
• maintaining appropriate backups of Merchant Data

LockTrust may use aggregated and anonymized data to improve services and develop new features.

Merchant may export its data at any time, subject to reasonable technical limitations of the Software Services.

12. Third-Party Services

Software Services may integrate with third-party applications or services.

LockTrust is not responsible for the performance, availability, or security of third-party services.

Merchant’s use of third-party services may be subject to separate terms provided by those providers.

LockTrust One may integrate with third-party services that rely on LockTrust payment processing infrastructure.

13. Suspension of Software Services

LockTrust may suspend access to Software Services if:

• Merchant violates these Software Terms
• Merchant violates the LockTrust Acceptable Use Policy
• Merchant’s account is suspended under the Online Payment Services Agreement
• fraud or security risks are detected
• required fees remain unpaid

LockTrust will use reasonable efforts to notify Merchant when practical.

14. Termination

Merchant may cancel a Subscription Plan at any time unless the plan is subject to a promotional processing commitment.

Termination does not relieve Merchant of obligations related to:

• previously incurred fees
• promotional commitments
• chargebacks or refunds related to payment processing

Upon termination, Merchant’s access to Software Services may be disabled.

15. Limitation of Liability

To the maximum extent permitted by law, LockTrust’s total aggregate liability arising out of or relating to the Software Services will not exceed the total amount of subscription fees paid by Merchant for the Software Services during the twelve (12) months preceding the event giving rise to the claim.

LockTrust will not be liable for:

• indirect damages
• lost profits
• loss of business opportunities
• loss of data
• consequential or special damages.

16. Governing Law

These Software Terms are governed by and construed in accordance with the laws applicable to the LockTrust Online Payment Services Agreement.

Any disputes relating to these Software Terms will be resolved in accordance with the dispute resolution provisions set forth in the LockTrust Online Payment Services Agreement.

17. Changes to These Software Terms

LockTrust may update these Software Terms periodically.

If changes materially affect Merchant’s rights or obligations, LockTrust will provide reasonable notice.

Continued use of Software Services after updated terms become effective constitutes acceptance of the revised terms.

18. Processing Dependency

Certain features of LockTrust One are designed to operate with LockTrust payment processing services.

If Merchant processes payments through third-party providers, some functionality of the Software Services may be limited or unavailable.
